Affiliate Terms and Conditions

1. Introduction
Welcome to the WebChatAgent Affiliate Program ("Program"). By participating in this Program, you agree to be bound by these Terms and Conditions ("Terms"). Please read them carefully before joining.
2. Eligibility
To participate in the Program, you must:
- Be at least 18 years old
- Have a valid WebChatAgent account
- Have a registered business - This program is only available for business entities, not for private individuals
- Provide valid business registration documentation upon request
- Comply with all applicable laws and regulations
- Not engage in fraudulent, deceptive, or illegal activities
Important: As an affiliate, you are acting as a business entity and must have a registered business in accordance with German law or equivalent business registration in your country. Private individuals without business registration are not eligible to participate in this program.
We reserve the right to review and approve or reject any affiliate application at our sole discretion. Reviews are conducted after the first referral is made. We may request proof of business registration at any time.
3. Commission Structure
Affiliates earn recurring commissions on referred customers' subscription payments:
- Basic Plan: 20% commission on net price (€12/month or €115/year)
- Standard Plan: 25% commission on net price (€29/month or €278/year)
- Premium Plan: 30% commission on net price (€69/month or €662/year)
All commissions are calculated on net prices (excluding VAT, other taxes, and payment provider fees). Commissions apply to both monthly and yearly subscriptions. For yearly subscriptions, the commission is paid in full upon successful payment. Commissions are recurring and continue for the lifetime of the customer's subscription.
4. Cookie Duration & Attribution
We use a 60-day cookie window with last-click attribution. If a referred user signs up within 60 days of clicking your affiliate link, you will receive credit for the referral. The last affiliate link clicked before signup receives the commission.
5. Payment Terms
Payment Method: Bank transfer only
Minimum Payout: €100
Payment Schedule: Monthly, processed within 30 days after the end of each month
Payment Details: You must provide valid bank account details in your affiliate dashboard
Commissions are only paid on successfully processed payments. Refunds, chargebacks, and cancelled subscriptions will result in commission reversals.
6. Prohibited Activities
The following activities are strictly prohibited:
- Spam: Sending unsolicited emails or messages
- Misleading Advertising: Making false claims about our service
- Trademark Bidding: Bidding on our brand terms in paid search campaigns
- Cookie Stuffing: Artificially placing cookies on users' devices
- Self-Referrals: Referring yourself or creating fake accounts
- Incentivized Signups: Offering cash or rewards for signups
- Adult Content: Promoting our service on adult or illegal content sites
7. Disclosure Requirements
You must clearly disclose your affiliate relationship with WebChatAgent in all promotional materials. This includes but is not limited to blog posts, social media posts, videos, and emails. Failure to disclose may result in immediate termination from the Program.
8. Intellectual Property
You may use our trademarks, logos, and marketing materials solely for the purpose of promoting WebChatAgent through the affiliate program. You must follow our brand guidelines and may not modify our materials without written permission. All intellectual property rights remain with WebChatAgent.
9. Termination
We reserve the right to terminate your participation in the Program at any time for any reason, including but not limited to:
- Violation of these Terms
- Fraudulent or unethical behavior
- Inactivity for more than 12 months
- Damage to our brand or reputation
Upon termination, you will forfeit all unpaid commissions, regardless of the amount. You must immediately cease using our trademarks and marketing materials.
10. Modifications
We reserve the right to modify these Terms, commission rates, or the Program structure at any time. Material changes will be communicated via email to the address associated with your account. Continued participation after notification constitutes acceptance of the modified Terms.
11. Liability
WebChatAgent is not liable for any indirect, incidental, special, or consequential damages arising from your participation in the Program. Our total liability shall not exceed the total commissions paid to you in the 12 months preceding the claim.
12. Governing Law
These Terms are governed by the laws of Germany. Any disputes shall be resolved in the courts of Bielefeld, Germany.
