Affiliate Terms and Conditions

1. Introduction

Welcome to the WebChatAgent Affiliate Program ("Program"). By participating in this Program, you agree to be bound by these Terms and Conditions ("Terms"). Please read them carefully before joining.

2. Eligibility

To participate in the Program, you must:

• Be at least 18 years old
• Have a valid WebChatAgent account
• Have a registered business - This program is only available for business entities, not for private individuals
• Provide valid business registration documentation upon request
• Comply with all applicable laws and regulations
• Not engage in fraudulent, deceptive, or illegal activities

Important: As an affiliate, you are acting as a business entity and must have a registered business in accordance with German law or equivalent business registration in your country. Private individuals without business registration are not eligible to participate in this program.

We reserve the right to review and approve or reject any affiliate application at our sole discretion. Reviews are conducted after the first referral is made. We may request proof of business registration at any time.

3. Commission Structure

Affiliates earn recurring commissions on referred customers' subscription payments:

• Basic Plan: 20% commission on net price (€19/month or €204/year)
• Standard Plan: 25% commission on net price (€35/month or €360/year)
• Premium Plan: 30% commission on net price (€85/month or €876/year)

All commissions are calculated on net prices (excluding VAT, other taxes, and payment provider fees). Commissions apply to both monthly and yearly subscriptions. For yearly subscriptions, the commission is paid in full upon successful payment. Commissions are recurring and continue for the lifetime of the customer's subscription.

4. Cookie Duration & Attribution

We use a 60-day cookie window with last-click attribution. If a referred user signs up within 60 days of clicking your affiliate link, you will receive credit for the referral. The last affiliate link clicked before signup receives the commission. German law (§ 25 TDDDG) only allows the cookie if the visitor consents to marketing cookies; without consent, a sign-up during the same visit is attributed to you.

6. Prohibited Activities

The following activities are strictly prohibited:

• Spam: Sending unsolicited emails or messages
• Misleading Advertising: Making false claims about our service
• Trademark Bidding: Bidding on our brand terms in paid search campaigns
• Cookie Stuffing: Artificially placing cookies on users' devices
• Self-Referrals: Referring yourself or creating fake accounts
• Incentivized Signups: Offering cash or rewards for signups
• Adult Content: Promoting our service on adult or illegal content sites

7. Disclosure Requirements

You must clearly disclose your affiliate relationship with WebChatAgent in all promotional materials. This includes but is not limited to blog posts, social media posts, videos, and emails. Failure to disclose may result in immediate termination from the Program.

8. Intellectual Property

You may use our trademarks, logos, and marketing materials solely for the purpose of promoting WebChatAgent through the affiliate program. You must follow our brand guidelines and may not modify our materials without written permission. All intellectual property rights remain with WebChatAgent.

9. Termination

Either party may terminate participation in the Program with 30 days' notice by email. We may end it with immediate effect for good cause, in particular for:

• Material violation of these Terms
• Fraudulent or unethical behavior
• Damage to our brand or reputation

Commissions earned until the end of your participation are paid out under Section 5. Commissions from referrals obtained through fraud or a material violation of these Terms are forfeited. After the end of your participation you must stop using our trademarks and marketing materials.

10. Modifications

We may change these Terms, commission rates or the Program structure with at least 30 days' notice by email to the address associated with your account. If you do not agree, you can end your participation with immediate effect before the change takes effect; commissions earned until then remain unaffected. Changes do not apply retroactively to commissions already earned.

11. Liability

We are liable without limitation for intent and gross negligence, for injury to life, body or health and under the German Product Liability Act. For slightly negligent breach of an essential contractual obligation, our liability is limited to the typical, foreseeable damage. Otherwise our liability for slight negligence is excluded.

12. Governing Law

These Terms are governed by the laws of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is Bielefeld, Germany. Your contractual partner is Dominik Weber (WebChatAgent), Jöllenbecker Str. 143, 33613 Bielefeld, Germany.
